1. Acceptance of Terms

By accessing this website, requesting information, obtaining a quotation, making a payment, signing any proposal or service agreement, or engaging the services of FDI Zone Corporate Service Provider LLC ("FDI Zone"), the client acknowledges and agrees to be bound by these Terms and Conditions.

FDI Zone reserves the right to amend these Terms and Conditions at any time without prior notice. The latest version published on the website shall apply.

2. Services

FDI Zone provides corporate and business support services including, but not limited to:

The scope of services shall be limited to the services specified in the quotation, invoice, proposal, service agreement, or order confirmation issued by FDI Zone.

3. Client Information and Documentation

The client is responsible for providing accurate, complete, and up-to-date information and documentation required for the provision of services.

FDI Zone shall not be responsible for delays, rejections, penalties, additional fees or losses resulting from incomplete, inaccurate or misleading information provided by the client.

The client confirms that all documents submitted are genuine and legally valid.

4. Compliance and Due Diligence

FDI Zone is committed to complying with all applicable laws and regulations of the United Arab Emirates, including Anti-Money Laundering (AML) and Counter Terrorism Financing (CTF) regulations.

The company reserves the right to request additional documents, conduct due diligence reviews, suspend services or terminate an engagement where regulatory, compliance or risk concerns arise.

FDI Zone may decline to provide services without providing detailed reasons where such refusal is required by law, regulatory obligations or internal compliance policies.

5. Government Authorities and Third Parties

Many services provided by FDI Zone involve submissions to government departments, licensing authorities, banks, free zones and other third-party entities.

FDI Zone acts solely as a service facilitator and consultant. All approvals, permits, licences, visas and bank accounts remain subject to the discretion of the relevant authority.

FDI Zone shall not be liable for any rejection, delay, suspension, cancellation or change in requirements imposed by any government authority, bank or third party.

6. Fees and Payments

All fees quoted by FDI Zone are valid for the period stated in the quotation or proposal.

Government fees, visa fees, legalisation charges, courier charges, translation fees and third-party costs are subject to change without notice and shall be payable by the client.

Services may be suspended until all outstanding payments are received.

FDI Zone reserves the right to revise fees where government charges or third-party costs increase after the issuance of a quotation.

7. Pay As You Go Services

Certain services may be offered under a "Pay As You Go" model.

Under this arrangement, the client pays only for the specific service requested at the relevant stage of the process.

Each stage shall be treated as a separate service engagement and may require payment before commencement.

FDI Zone reserves the right to discontinue further processing if payment for any stage remains outstanding.

Any fees paid for completed stages shall be non-refundable.

8. Refund Policy

Professional service fees, consultancy fees, processing fees and administrative charges are non-refundable once work has commenced.

A service shall be considered commenced once any consultation, document review, application preparation, submission, advisory work or processing activity has taken place.

Where government authorities, banks or third parties reject an application, any refund shall be limited to unused government fees successfully recovered from the relevant authority, if applicable.

No refund shall be payable for delays, policy changes, additional requirements or decisions made by third parties.

9. Bank Account Assistance

FDI Zone may assist clients by introducing them to banking institutions and supporting documentation requirements.

However, FDI Zone does not own, control, or influence the account opening process of any bank.

Approval or rejection of a bank account application remains solely at the discretion of the bank.

FDI Zone does not guarantee bank account approval under any circumstances.

10. Visa and Immigration Services

Visa applications are subject to the approval of the relevant immigration authorities within the United Arab Emirates.

FDI Zone does not guarantee visa approvals, processing times, security clearances or immigration decisions.

Any rejection, delay or cancellation by immigration authorities shall not create any liability on the part of FDI Zone.

11. Timelines

Any estimated timelines communicated by FDI Zone are indicative only and should not be considered guaranteed deadlines.

Processing times may vary due to government procedures, public holidays, additional compliance requirements or factors beyond the control of FDI Zone.

12. Limitation of Liability

To the fullest extent permitted by law, FDI Zone shall not be liable for any indirect, incidental, special, consequential or business losses, including loss of profits, loss of revenue, loss of business opportunities or reputational damage.

The total liability of FDI Zone arising from any claim shall not exceed the professional fees paid by the client for the specific service giving rise to the claim.

13. Intellectual Property

All content on this website, including text, graphics, logos, designs, documents, reports and materials, remains the property of FDI Zone unless otherwise stated.

No content may be copied, reproduced, distributed or used without prior written consent from FDI Zone.

14. Confidentiality

FDI Zone shall take reasonable measures to maintain the confidentiality of client information.

Information may be disclosed where required by law, government authorities, courts, regulatory bodies or compliance obligations.

15. Website Usage

Users shall not misuse this website, attempt unauthorized access, transmit malicious software or engage in any activity that may disrupt the website's operation.

FDI Zone reserves the right to restrict or terminate access to users who violate these provisions.

16. Force Majeure

FDI Zone shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of government, regulatory changes, natural disasters, pandemics, labour disputes, cyber incidents, power failures or communication disruptions.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute arising in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

19. Client Exit, Transfer and NOC Policy

Certain company formation packages offered by FDI Zone may include discounted first-year pricing, promotional offers, bundled services, or special arrangements negotiated with licensing authorities and service providers.

Where a client requests to transfer the servicing of their company, licence, visa, or related corporate records away from FDI Zone, a formal written request must be submitted.

Prior to issuing any No Objection Certificate (NOC), release letter, transfer approval, clearance certificate, or related document, the client must:

A one-time administration and transfer processing fee of AED 4,500 plus applicable VAT shall apply for the review, preparation, processing, and issuance of any NOC, release letter, transfer approval, or related corporate clearance document.

FDI Zone reserves the right to refuse or delay the issuance of any NOC or transfer approval where there are outstanding payments, unresolved compliance matters, legal restrictions, or contractual obligations.

The issuance of an NOC shall not release the client from any liabilities arising before the effective date of transfer.

20. Channel Partner Non-Circumvention and Non-Solicitation

Where business is introduced to FDI Zone through a channel partner, referral partner, consultant, agent, affiliate, or strategic partner, all parties acknowledge and agree that the relationship has been established through the efforts and investment of the introducing party.

Neither the client nor any partner shall directly or indirectly circumvent, bypass, avoid, or attempt to avoid FDI Zone in relation to services, transactions, renewals, upgrades, amendments, visa services, corporate services, or any related business opportunities introduced through FDI Zone.

Clients introduced by a channel partner shall remain protected under the commercial arrangement agreed between FDI Zone and the respective partner.

No party shall knowingly engage in any action intended to deprive FDI Zone of its legitimate business interests, service fees, commissions, renewal income, referral fees, or business opportunities arising from an introduction made by FDI Zone.

Furthermore, no partner shall directly solicit, recruit, hire, engage, or attempt to engage any employee, consultant, contractor, or representative of FDI Zone during the course of the relationship and for a period of twelve (12) months following its termination without the prior written consent of FDI Zone.

In the event of a breach of this clause, FDI Zone reserves the right to pursue all available legal remedies under the laws of the United Arab Emirates, including claims for damages, losses, and injunctive relief where applicable.
